Anthropic Submits Registration Statement for Initial Public Offering

Anthropic has formally filed for an initial public offering (IPO) that is projected to rival the record-breaking listing of SpaceX. The artificial intelligence firm also disclosed financial results indicating a significant surge in revenue alongside multi-billion-dollar long-term commitments for computing infrastructure.

The S-1 registration statement filed with the U.S. Securities and Exchange Commission (SEC) provides the first comprehensive public analysis of the company's financial health. Anthropic had initially submitted its IPO documentation confidentially in June, allowing the regulatory body to conduct a preliminary review of the figures before their public dissemination.

Anthropic intends to list its Class A common stock on the Nasdaq Global Select Market under the ticker symbol ANT, though it has not yet specified the number of shares to be issued, a target price range, or an implied valuation. Goldman Sachs and Morgan Stanley are serving as lead underwriters for the offering. The documentation revealed revenue of $16.3 billion for the first half of 2026, a substantial increase from the $1.2 billion reported in the first half of 2025 and significantly higher than the $4.6 billion generated throughout the entirety of 2025.

The cost of revenue increased to $2.4 billion, up from just over $1 billion, with computing and infrastructure expenditures accounting for nearly the entire amount. Anthropic noted that operating margins are expected to remain volatile as the company continues to scale its capacity. The firm recorded a net loss of $80.7 billion for the first half of the year; however, $72.4 billion of that total was attributed to non-cash charges related to the revaluation of convertible notes and other financial instruments as the company's private valuation climbed.

Regarding infrastructure, Anthropic has committed to spending a minimum of $110 billion on Amazon’s cloud services through April 2036 and up to $120.5 billion with SpaceX through 2029. Additionally, the firm has allocated $114.5 billion for Google Cloud services until 2033 and $44.9 billion for Microsoft infrastructure through May 2033.

In its risk disclosure, Anthropic cautioned that several of its cloud service providers are also developing competing AI models, which could lead to restrictions, price increases, or loss of access to critical computing capacity. The company also noted that threat actors are already utilizing AI in cyberattacks and warned that misuse in biological contexts could pose severe global risks. Furthermore, the filing highlighted concerns regarding AI-driven power concentration and potential geopolitical destabilization.
