BT Group has acquired the consumer and wholesale divisions of TalkTalk, a move intended to prevent the collapse of one of the United Kingdom’s primary broadband providers. The transaction will incur a total cash impact of £400 million during BT’s current fiscal year, ending March 31, 2027, covering the purchase price and associated costs.

The incumbent provider stated that TalkTalk had engaged in a lengthy but ultimately unsuccessful divestiture process, and BT intervened after recognizing the potential risk to national infrastructure—specifically vulnerable users and essential public services—should the firm cease operations. The acquisition will transfer 1.5 million retail subscribers and 1 million wholesale clients across the UK to BT.

TalkTalk reported annual revenue of £1.2 billion and remained loss-making over the last 12 months. However, BT expressed confidence that the entity would become value-accretive as the business is stabilized and operational synergies are realized. CEO Allison Kirkby characterized the situation as unprecedented, noting that millions of citizens and commercial entities were at risk had TalkTalk collapsed. She stated the acquisition represented the only viable solution to maintain connectivity for those customers.

The agreement is subject to an antitrust review, given that BT owns Openreach, a significant competitor to TalkTalk. However, the UK government has issued a Public Interest Intervention Notice due to the potential consequences of a TalkTalk failure on vital telecommunications services. The Competition and Markets Authority is scheduled to submit its findings to the government by October 19.
